Koti Referral Program Terms

Draft. This is a Koti internally reviewed policy/Terms draft — outside
counsel review deferred. It is not attorney-reviewed. Brand/Legal finalize
the copy before this document becomes effective.

1. The program

The Koti Referral Program lets eligible Koti professionals ("pros") earn
free lead unlocks by referring other home-service pros to Koti. A free
lead unlock lets you accept one matched lead without paying the unlock fee;
it applies only to the fee for an accepted lead, on your own account.

These Terms are a contract between you and Koti. By sharing your referral
code or link, you agree to the current version of these Terms. The Koti Pro
Terms also apply to you; where the two conflict on referral rewards, these
Terms control.

2. Participation and acceptance

2.1. Every active pro receives a personal referral code and invite link. You
participate when you share your code or link with another pro; that act
records your acceptance of the then-current version of these Terms.

2.2. You may not refer yourself, submit your own code, or route your own
account through another pro's code.

2.3. Participation is limited to pros in good standing. While your account
is suspended, you may not use referral benefits (see §8).

3. Attribution

3.1. How attribution works. When a new pro signs up with your valid
referral code or link, the referral is attributed to you at account creation.

3.2. 90-day attribution window. Attribution begins on the date the
referred pro's account is created with your code or link. The referral
qualifies for a reward only if the referred pro completes a qualifying paid
unlock (see §4) within 90 calendar days of that date. If no qualifying
unlock occurs within 90 days, attribution expires and no reward is earned.

3.3. No reassignment. Attribution is fixed at account creation. It is
never reassigned, and an expired attribution is never silently reassigned to
anyone else. Expiry does not delete the historical record.

4. Qualifying referrals

A referred pro becomes a qualifying referral when ALL of the following
are true:

  1. Valid attribution — a referral record exists showing they signed up with your code or link (and attribution has not expired under §3.2).
  2. Onboarding complete — the referred pro has completed pro onboarding (verified business profile, verified phone number, valid payment method on file).
  3. Payment method on file — the referred pro has a payment method on file that we can charge.
  4. Actual paid transaction — the referred pro accepts a lead with a successful, real-money charge (not $0).
  5. Not voided — that transaction was not voided, refunded, charged back, or found fraudulent.

$0 exclusions. Accepts with no real payment never qualify: first-lead-free
accepts, referral free-unlock accepts, and accepts fully covered by account
credits do not trigger a reward.

5. Reward lifecycle and finality

5.1. EARNED (T+0). When all five conditions in §4 are met, the reward is
earned. It is not yet usable — no unlock credit is added to your account.

5.2. VALIDATING (7-day hold). The earned reward enters a 7-day
validation window. During this window, if the qualifying transaction is
refunded, voided, charged back, or confirmed fraudulent, the reward is voided
and no reward is issued.

5.3. ISSUED (T+7, FINAL). If the 7-day window passes cleanly, the reward
is issued: one free lead unlock is added to your account and the reward
becomes final and irrevocable. There is no post-issuance clawback — an
ordinary refund of the referred pro's transaction after issuance does not
retroactively destroy qualification. Fraud or abuse discovered after
issuance is handled only through the process in §6.5.

5.4. HELD. If a reward is flagged for review (§6.1–6.4), it moves to
HELD: no reward is granted and no unlock is added until the review is
resolved. A cleared reward restarts its 7-day validation from the release
date.

5.5. 12-month expiration. Each issued reward expires **12 months after
it is issued**, if unused. Expiration is never silent: expired rewards remain
on your ledger as EXPIRED with their issuance and expiry dates, and your
dashboard shows expired unlocks. Expiry does not affect any other reward.

5.6. Dashboard states. Your dashboard shows the same reward as:

5.7. All timestamps (earned, validation window, issued, expiry,
consumption, review decisions) are preserved on the reward record.

6. Anti-abuse and fraud

6.1. The exact checks. Before a reward is granted, Koti runs the
following documented anti-abuse checks using information already on file:

  1. Email — the referred pro's email matches the referrer's email (case-insensitive) → self-referral; the reward is held for review.
  2. Verified phone — the referred pro's verified phone number matches the referrer's verified phone number (both on file) → held for review.
  3. Payment identifiers — the referred pro's payment method matches the referrer's payment method → held for review. A card-number-only match (without the payment-method identifier) is a weak signal: logged, never decided alone.
  4. Business identity — the business names match after normalization (lowercase, "LLC"/"Inc"/punctuation/whitespace removed) → held for review (weak signal — family businesses legitimately share names).
  5. Duplicate records — the same normalized email or phone appears on more than one pro account involved in the referral → held for review.

6.2. Suspicion never voids. A suspicion or an automated signal alone
never voids a reward; it routes the reward to HELD for human review. A
reward is voided only by a confirmed disqualification (a refund, void,
chargeback, or reversal during validation, or a human review outcome).

6.3. Held rewards are not granted, and no notification claiming a reward is
sent, until the review resolves. You will be told a reward is under review.

6.4. Normal termination of a pro account ends review eligibility; fraud
termination follows §6.5.

6.5. Post-issuance fraud or abuse process. Where fraud or abuse is
suspected after a reward has been issued, Koti follows this process and no
other: the reward is flagged and frozen (preserved pending review, not
deleted); you are notified and given 10 calendar days to dispute; a
human reviewer decides, with the decision and evidence recorded; you may
then file one appeal within 7 calendar days, decided by a different
reviewer — benefits stay frozen and no collection activity occurs during a
timely appeal. Final outcome: an unused fraudulent reward is voided (the
ledger entry is preserved, never deleted); a used fraudulent reward is
recorded as an amount due in Koti's internal ledger. **Koti never
automatically charges your card and never automatically offsets other
amounts.** Collection, if any, is by notice, voluntary payment, and
restriction from the referral program.

7. Reward properties

Free lead unlocks have no cash value, are non-transferable and
non-saleable, and are usable only on the account that earned them.

8. Suspension and termination

8.1. Suspended pro. Pending (not yet issued) rewards move to HELD and
are reviewed when the account is reinstated. Already-issued unlocks stay on
your ledger but are unusable while suspended; suspension does not
delete them and does not erase the ledger.

8.2. Normal termination. No new rewards accrue after termination; the
full reward ledger (attributed, earned, held, issued, expired) is preserved
and never deleted.

8.3. Fraud termination. Handled under §6.5.

9. Changes to the program

9.1. Prospective only. Changes to this program apply prospectively.
Issued rewards are never retroactively removed, and no change retroactively
eliminates rewards already issued.

9.2. Cap. There is no cap on rewards earned under this version. Koti
reserves the right to introduce a limit prospectively only — any limit
will be disclosed before it takes effect, and it will never retroactively
eliminate rewards already issued.

9.3. Material vs. administrative changes. Administrative changes (typo
fixes, clarifications, renumbering) take effect when posted. Material
changes (reward economics, qualifying conditions, expiration, anti-abuse
rules) are disclosed in advance and take effect only for referrals whose
attribution begins on or after the effective date; existing attributed and
issued rewards are governed by the version in effect when they were created.

10. Taxes

You are responsible for any taxes that may apply to rewards you receive
under this program. Koti provides no tax forms and reports no thresholds in
these Terms; consult your tax advisor.

11. Benefit consumption

11.1. Before you accept a lead, your dashboard preview shows the unlock fee,
the benefit(s) that will be applied, the effective amount due, the Stripe
charge (if any), and your remaining benefits. **No benefit is consumed
without being visible in that preview.**

11.2. A first-lead-free accept applies alone — referral unlocks and credits
are never consumed on that transaction. A referral free unlock covers the
fee by itself — never combined with credits. Dollar credits apply against
paid unlocks where they reduce the charge. Where there is a real trade-off
(use the free unlock and pay $0, or use a credit and preserve the unlock),
you choose — Koti does not silently consume multiple benefits.

11.3. Every consumption is recorded (which benefits were used or kept, the
effective charge, the timestamp) and preserved for dispute resolution.

12. Program operations

Rewards are issued automatically. Koti may correct operational errors
(missed issuances, counter mismatches) through its normal support and
administration processes; **these Terms do not promise any reconciliation
interval or deadline.**
